“Yellowbook360 Opening Kickoff-Payoff Sweepstakes”

Official Rules

NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN THIS SWEEPSTAKES. A PURCHASE OR PAYMENT WILL NOT INCREASE OR IMPROVE YOUR CHANCES OF WINNING.

1. GENERAL. The “Yellowbook360 Opening Kickoff-Payoff Sweepstakes” (this “Sweepstakes”) is a sweepstakes where eligible entrants will have the chance during up to sixteen (16) separate weekly drawings during the 2010 Oakland Raiders (“Raiders”) regular season to be selected as a “Yellowbook360 Opening Kickoff-Payoff Contestant” and have a chance to win $10,000 if the opening kickoff in a specified Raiders regular season game that is broadcast on Compass Media Networks LLC is returned for a touchdown. The foregoing is a general description only of this Sweepstakes and is qualified in its entirety by these Official Rules.

2. ELIGIBILITY. This Sweepstakes is only open to entrants who, as of the entry date, are legal residents of the fifty (50) United States or the District of Columbia and at least eighteen (18) years old. This Sweepstakes is void outside the fifty (50) United States and the District of Columbia, and where prohibited or restricted by law. Employees, officers and directors of Yellow Book USA, Inc. and Dial Communications Global Media, LLC (collectively, the “Sponsors”), and Compass Media Networks, LLC (collectively, the “Sweepstakes Parties”), the Oakland Raiders, and their respective parents, subsidiaries, affiliates, divisions, advertising and promotion agencies, and the immediate families (defined as parents, spouses, children, siblings, grandparents, and their respective spouses) or members of the same household (whether related or not) of each such employee, officer and director, are NOT eligible to enter. Additionally, this Sweepstakes is administered by Dial Communications Global Media, LLC (“Administrator”). Further, individuals who have won a prize from Administrator within one hundred eighty (180) days prior to December 31, 2010 are also NOT eligible to enter. This Sweepstakes, and any website pages and advertisements relating thereto, is intended for viewing only within the United States and the District of Columbia, and entrants must be present in the fifty (50) United States or the District of Columbia at the time they enter.

3. TIMING. The Sweepstakes entry period begins at 12:01 a.m. Eastern Time (“ET”) on Monday, August 9, 2010 and ends at 11:59 p.m. ET on Wednesday, December 29, 2010 (the “Entry Period”).

4. HOW TO ENTER. There are two (2) ways to enter this Sweepstakes:

a. TO ENTER ONLINE: Go to www.CompassMediaNetworks.com to the Sports section of the website and follow the links and instructions for online entry. Completely fill out the online entry form and submit it in accordance with the on-screen instructions. All online entries must be received by Administrator during the Entry Period. In the event of a dispute as to the identity of an online entrant, the authorized account holder of the email address used to enter will be deemed to be the entrant. Potential winners may be required to show proof of being the authorized account holder. The “authorized account holder” is the natural person assigned to an email address by an Internet service provider, online service provider, or other organization responsible for assigning email addresses for the domain associated with the submitted email address. All entries will be deemed to have been made by the authorized account holder of the submitted email address. Submitting mass entries or entries generated by a script, macro or use of automated devices is prohibited and will result in disqualification.

b. TO ENTER BY MAIL: If you do not wish to register online, print your name, complete home address, day and evening phone numbers, email address (if any), and date of birth on a 3” x 5” piece of paper and send it by United States mail in a sealed envelope no larger than 9 1/2" x 4 1/4" (a #10 envelope) with correct postage to “Yellowbook360 Opening Kickoff-Payoff Sweepstakes – Entry Form”, c/o Dial Global, 233 N. Michigan Ave., Ste. 2315, Chicago, IL 60601. All mail-in entries must be received by Administrator during the Entry Period. No facsimiles, photocopied or mechanically reproduced entries allowed. Use of any automated system to submit entries is prohibited and will result in disqualification.

c. FOR ALL ENTRIES: LIMIT: One (1) entry per person in this Sweepstakes, regardless of method of entry. Any attempt by any entrant to obtain more than the stated number of entries by using multiple/different email addresses, identities, registrations or logins, or any other methods will void that entrant’s entries and that entrant will be disqualified. All entries, regardless of method of entry, must be received by Administrator during the Entry Period. All entries become the exclusive property of Administrator and none will be acknowledged or returned. Proof of online submission or mailing will not be deemed to be proof of receipt of entry by Administrator.

5. AGREEMENT TO OFFICIAL RULES AND DECISIONS. By participating in this Sweepstakes, each entrant fully and unconditionally agrees to be bound by and accepts these Official Rules and the decisions of Administrator (including, without limitation, decisions regarding eligibility of entries, the selection of entrants, contestants and winners, and the awarding of prizes), which are final and binding in all respects.

6. DRAWINGS; ODDS; NOTIFICATION.

a. Weekly “Yellowbook360 Opening Kickoff-Payoff Contestant” Drawings.

i. Starting on Thursday, September 9, 2010 and continuing through Thursday, December 30, 2010, on the immediately preceding Thursday prior to each Compass Media Networks 2010 Raiders regular-season Sunday game broadcast, one (1) entrant will be selected by Administrator by random drawing from among the pool of eligible entries to become the “Yellowbook360 Opening Kickoff-Payoff Contestant” for the broadcast game. All eligible entries received by Administrator in this Sweepstakes through 11:59 p.m. ET on the Wednesday immediately prior to the applicable Thursday drawing date (including all non-winning eligible entries received during the Entry Period prior to such day and time) will constitute the pool of entries for the applicable week’s Thursday drawing. Drawings will occur on all Thursdays within the Sweepstakes entry period EXCEPT Thursday, November 11, 2010, since the Raiders have a bye week and will not be playing on Sunday, November 14, 2010.

ii. The name of each “Yellowbook360 Opening Kickoff-Payoff Contestant” will be announced on air prior to the applicable game’s broadcast. If the first kickoff received by the Raiders in the game is returned by the Raiders for a touchdown (i.e., the kickoff return is not fumbled or nullified by a penalty or other circumstance and the touchdown is included in the official final score of the game), the selected contestant for such game will win a $10,000 cash prize (the “Kickoff Prize”), subject to Administrator’s verification of the contestant’s eligibility and compliance with these Official Rules. Eligibility for the cash prize applies only to the applicable game’s first kickoff received by the Raiders (which may not be the opening kickoff of the game) and does not apply to subsequent kickoffs or the first kickoff received by the Raiders’ opponent. If the first kickoff in the game that is received by the Raiders is not returned by the Raiders for a touchdown, then NO Kickoff Payoff Prize will be awarded for such game; however, the contestant for such game will receive a “Contestant Prize” as described below.

iii. If Compass Media Networks does not broadcast the game for which an entrant has been selected asthe “Yellowbook360 Opening Kickoff-Payoff Contestant” for any cause or reason whatsoever (including, without limitation, termination of the Compass Media Networks/Raiders broadcast agreement; technical difficulties; preemption; cancellation or rescheduling of the game; NFL or other labor difficulties; etc.), no prize will be awarded to the selected contestant with respect to the affected game, and the selected entrant’s entry will be placed back into the pool of entries for this Sweepstakes.

iv. A selected entrant must comply with all terms and conditions of these Official Rules, and winning a prize is contingent upon fulfilling all requirements.

b. Odds. The odds of being selected as one of the “Yellowbook360 Opening Kickoff-Payoff Contestants” and winning a prize in this Sweepstakes depend on the number of eligible entries received in this Sweepstakes and the number of eligible prize winning touchdown receptions in the applicable games broadcast on Compass Media Networks.

c. Notification.

i. After the applicable week’s Thursday drawing, an entrant selected as a “Yellowbook360 Opening Kickoff-Payoff Contestant” will be notified by telephone or email by Administrator to confirm the entrant’s participation in the Sweepstakes, eligibility and compliance with these Official Rules. If the potential contestant cannot be contacted within six (6) hours of Administrator’s first attempt to contact the potential contestant, or if the potential contestant does not affirmatively confirm the above items within six (6) hours of Administrator’s first attempt to contact the potential contestant, or if the potential contestant is found to be ineligible, or if the potential contestant does not comply with the Official Rules, then the potential contestant may be disqualified and an alternate entrant selected by Administrator in his/her place to be the contestant for the applicable broadcast game from among the pool of eligible entries for the applicable Thursday drawing. The selection process will continue as described above until a contestant for the applicable broadcast game is selected; provided, however, Administrator, in its sole discretion, may adjust the above timing requirements to accommodate the Sweepstakes and broadcast schedule, and due to such schedule and timing, Administrator may be unable to name or accommodate an alternate contestant. No Sweepstakes Party is responsible for the failure of a potential contestant to receive Administrator’s telephone or email message, or for the inability of such potential contestant to respond to such message as required for any reason.

ii. A potential winner of a Kickoff Prize or Contestant Prize will be notified by phone, letter (by postal or overnight delivery) and/or email. A potential winner will be required to execute and return to Administrator an Affidavit of Eligibility, a Liability Release and, except where prohibited by law, a Publicity Release (an “Affidavit/Release”) in order to claim his/her prize. Such Affidavit/Release must be returned to Administrator by the date and/or time indicated within such documents. If the potential winner cannot be contacted within seven (7) days of the first attempt to contact him/her, or if the potential winner fails to return the Affidavit/Release within the specified time, or if the potential winner is found to be ineligible, or if the potential winner does not comply with the Official Rules, then the potential winner may be disqualified and NO alternate winner will be selected by Administrator in the disqualified potential winner’s place.

7. PRIZES.

a. Kickoff Prize. In this Sweepstakes, a minimum of zero (0) and a maximum of sixteen (16) separate Kickoff Prizes could be awarded, subject to the terms and conditions of these Official Rules (including, without limitation, Section 6(a)(ii) above which sets forth the opening kickoff touchdown return requirement). A Kickoff Prize consists of and is limited to a $10,000 cash payment by Administrator to be paid in the form of a check. The approximate retail value (“ARV”) of a Kickoff Prize is US$10,000 and the aggregate ARV of all Kickoff Prizes (if all are awarded in this Sweepstakes) is US$160,000.

b. Contestant Prize. In this Sweepstakes, a minimum of zero (0) and a maximum of sixteen (16) separate Contestant Prizes could be awarded, subject to the terms and conditions of these Official Rules (including, without limitation, Section 6(a)(ii) above). A Contestant Prize consists of and is limited to a $100 American Express gift card, which is subject to the terms, conditions, limitations and restrictions thereof. All Contestant Prizes will be paid for by Administrator. The ARV of a Contestant Prize is US$100 and the aggregate ARV of all Contestant Prizes (if all are awarded in this Sweepstakes) is US$1,600.

c. All Prizes. Prizes must be accepted as awarded, and prizes are awarded “AS IS” with no warranty, representation, or guarantee, express or implied, in fact or in law, made by any Sweepstakes Party or for which any Sweepstakes Party shall be liable, including, without limitation, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT OR FITNESS FOR A PARTICULAR PURPOSE. No substitution, assignment or transfer of a prize is permitted, except by Administrator, who reserves the right to substitute a prize with another prize of greater or equal value, including cash, if a prize is not available for any reason as determined by Administrator in its sole discretion. Yellow Book USA, Inc. and the Oakland Raiders are not administrators of the Sweepstakes and Yellow Book USA, Inc. and the Raiders will have no role in selecting winners, awarding prizes, or paying any amounts related to the Sweepstakes. Winner is solely and fully responsible for any and all costs, fees, taxes, assessments and expenses associated with prize award, receipt and use, including, without limitation, all federal, state and local taxes on the prize. If applicable, a prize winner will be issued an IRS Form 1099 for the ARV of the prize won. LIMIT: One (1) prize in this Sweepstakes per person/family/household/e-mail address.

8. PUBLICITY. Except where prohibited by law, participation in this Sweepstakes constitutes winner’s consent to the Sweepstakes Parties’ (and their respective successors’, assignees’ and designees’) use of winner’s name, biography, likeness, voice, photographs, video, opinions, hometown, state and country for promotional purposes in any manner or media (including, without limitation, online), worldwide, in perpetuity, and without further payment, consideration, notice or consent.

9. GENERAL CONDITIONS. Administrator reserves the right, in its sole discretion, to terminate, modify or suspend this Sweepstakes if, in Administrator’s opinion, there is any suspected or actual evidence of electronic or non-electronic tampering with any portion of this Sweepstakes, or if viruses, bugs, unauthorized intervention, fraud, technical difficulties or failures or any other factor beyond Administrator’s reasonable control corrupt or affect the administration, security, fairness, integrity or proper conduct of this Sweepstakes. In such event, Administrator reserves the right (but does not have the obligation) in its sole discretion to award any or all of the prize(s) at random from among eligible, non-suspect entries received up to the time of suspected impairment. Administrator reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of this Sweepstakes or to be acting in violation of these Official Rules or in an unsportsmanlike or disruptive manner. Any attempt by any person to deliberately damage any website or undermine the legitimate operation of this Sweepstakes is a violation of criminal and civil laws, and, should such an attempt be made, Administrator reserves the right to seek damages and other remedies from any such person to the fullest extent permitted by law. Administrator’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision or any other provision in these Official Rules.

10. RELEASE. By entering, each entrant forever and irrevocably releases and holds harmless the Sweepstakes Parties, the Oakland Raiders, and their respective parents, subsidiaries, divisions and affiliates, and their respective agents, advertising and promotion agencies, affiliates, Sweepstakes partners and prize suppliers, and all of their respective employees, officers, directors, shareholders, members, managers, partners and agents from and against all claims, damages or liabilities related to or arising in whole or in part, directly or indirectly, from entrant’s participation and/or entry in this Sweepstakes and/or entrant’s award, receipt or use of any prize awarded in this Sweepstakes.

11. LIMITATIONS OF LIABILITY. No Sweepstakes Party nor the Oakland Raiders is responsible for: (a) incorrect or inaccurate transcription of entry information or late, lost, stolen, unintelligible, illegible, damaged, mutilated, altered, incomplete, postage-due or misdirected entries, or entries received through impermissible or illegitimate channels, all of which will be disqualified; (b) technical failures of any kind, including but not limited to the malfunctioning of any telephone, computer online systems, computer equipment, website, server provider, network, hardware or software; (c) the unavailability or inaccessibility of any website or service; (d) unauthorized intervention in any part of the entry process or this Sweepstakes; (e) printing, typographical, electronic or human errors which may occur in the offer or administration of this Sweepstakes or the processing of entries; or (f) any injury or damage to persons or property, including but not limited to entrant’s computer, which may be caused, directly or indirectly, in whole or in part, from entrant’s participation in this Sweepstakes, or from viewing, playing or downloading any material from a Sweepstakes Party’s website, regardless of whether the material was prepared by a Sweepstakes Party or a third party, and regardless of whether the material is connected to a Sweepstakes Party’s website by a hypertext link.

12. DISPUTES. Entrant agrees that: (a) any and all disputes, claims, and causes of action arising out of or connected with this Sweepstakes, or any prizes awarded shall be resolved individually, without resort to any form of class action, and solely and exclusively in a federal or state court located in New York, New York; entrant submits to sole and exclusive personal jurisdiction to said courts in the State of New York for any such dispute and irrevocably waives any and all rights to object to such jurisdiction; (b) any and all claims, judgments, and awards shall be limited to actual out of pocket costs incurred, including costs associated with entering this Sweepstakes but in no event attorneys’ fees; and (c) under no circumstances will entrant be permitted to obtain awards for and entrant hereby waives all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of entrant or any Sweepstakes Party in connection with this Sweepstakes shall be governed by, and construed in accordance with, the laws of the State of New York, without giving effect to any choice of law or conflict of law rules of provisions (whether of the State of New York, the United States, or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of New York.

13. DATA COLLECTION. Entrants provide personal information on the entry form when they enter this Sweepstakes. Administrator collects this information on behalf of Sponsors and uses it to administer this Sweepstakes. Sponsors or Administrator may share this information with third parties who need access to this information to perform services on Sponsors’ or Administrator’s behalf in administering this Sweepstakes, but neither Sponsors nor Administrator shall use this information for any purpose that does not directly pertain to this Sweepstakes.

14. OFFICIAL RULES. These Official Rules are available at the Sports section of www.CompassMediaNetworks.com, or by sending a self-addressed postage-stamped envelope to “Yellowbook360 Opening Kickoff-Payoff Sweepstakes – Rules Request”, c/o Dial Global, 233 N. Michigan Ave., Ste. 2315, Chicago, IL 60601. Residents of Vermont need not affix return postage.

15. WINNER’S LIST. To request a list of winners, send a self-addressed postage-stamped envelope to “Yellowbook360 Opening Kickoff-Payoff Sweepstakes – Winner’s List Request”, c/o Dial Global, 233 N. Michigan Ave., Ste. 2315, Chicago, IL 60601. Requests must be received by February 1, 2011.

16. SPONSORS. The sponsors of this Sweepstakes are Dial Communications Global Media, LLC and Yellow Book USA, Inc., and the address at which the Sponsors may be contacted is: Dial Communications Global Media, LLC, 220 West 42 Street, New York, NY 10036; and Yellow Book USA, Inc., 398 RXR Plaza, Uniondale, NY 11556.
